1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and CABSTATES ("we," "us," "our") governing your access to and use of our website cabstates.com and all related services, applications, and platforms (collectively, the "Services").

CABSTATES is a Caribbean Venture & Media Engine providing the following services:
2.1 Learn (Educational Services)
- InstaTuition: Online courses, tutoring, and educational resources
- ACCA Smart: AI-powered study assistant for ACCA students, including exemption mapping, pathway planning, and exam preparation tools
- ACCA Applied Skills Starter Pack: Free downloadable study guide for Caribbean ACCA students
- Educational Content: Articles, guides, videos, and blog posts related to accounting, finance, and professional development
2.2 Build (Business Services)
- AdVentureSphere: Business registration services for Trinidad & Tobago, including company incorporation, business name registration, and related documentation
- Biz4Sale: Marketplace for buying and selling businesses in the Caribbean
- Business Resources: Guides, templates, and tools for entrepreneurs
2.3 Live (Community Services)
- Community Forums: Discussion boards and networking opportunities
- Blog & Media: Caribbean business news, financial advice, and lifestyle content
- Products & Marketplace: Featured Caribbean products and services
We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice or liability.
3. User Accounts
3.1 Account Creation
To access certain features of our Services (e.g., ACCA Smart, AdVentureSphere), you may be required to create an account. When creating an account, you must:

- Maintain and promptly update your account information
- Be at least 18 years of age or have parental/guardian consent

For educational services (ACCA Smart, InstaTuition), you agree to:
- Use study materials and AI assistance for personal learning only
- Not share your account credentials with others
- Not reproduce, distribute, or sell any proprietary content provided through the Services
- Maintain academic integrity in accordance with ACCA and other relevant professional body standards
Important: CABSTATES provides study support tools and resources. You are responsible for ensuring that your use of our Services complies with the rules and regulations of ACCA, your educational institution, and any other relevant professional bodies.
5. Intellectual Property Rights
5.1 Our Content
All content on the Services, including text, graphics, logos, images, videos, software, and other materials (collectively, "Content"), is the property of CABSTATES or its licensors and is protected by copyright, trademark, and other intellectual property laws.

"CABSTATES," the CABSTATES logo (pyramid and cube design), "InstaTuition," "ACCA Smart," "AdVentureSphere," "Biz4Sale," and other marks displayed on the Services are trademarks or registered trademarks of CABSTATES. You may not use these trademarks without our prior written consent.
5.3 User Content
If you submit, post, or upload any content to our Services (e.g., forum posts, comments, business listings), you retain ownership of your content. However, by submitting content, you grant CABSTATES a worldwide, non-exclusive, royalty-free, perpetual, and transferable license to use, reproduce, modify, display, and distribute your content in connection with the Services.
You represent and warrant that:
- You own or have the necessary rights to the content you submit
- Your content does not infringe the intellectual property rights of any third party
- Your content complies with these Terms and applicable laws
6. Payments & Subscriptions
6.1 Paid Services
Certain features of our Services require payment, including:
- ACCA Smart Subscriptions: Monthly or annual subscription plans (Smart, Premium, Ultimate)
- InstaTuition Courses: One-time course fees
- AdVentureSphere Services: Business registration fees and related services
- Biz4Sale Listings: Listing fees for business sellers
6.2 Pricing
All prices are displayed in the currency specified on the Services (USD, TTD, or other currencies as applicable). Prices are subject to change at any time, but changes will not affect existing subscriptions until renewal.
6.3 Payment Processing
Payments are processed through third-party payment processors, including Stripe and PayPal. By providing payment information, you authorize us and our payment processors to charge the applicable fees to your payment method.
6.4 Automatic Renewal
Subscription services (e.g., ACCA Smart) automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged the then-current subscription fee.
6.5 Taxes
All fees are exclusive of applicable taxes (e.g., VAT, GST). You are responsible for paying all taxes associated with your use of the Services.
7. Cancellation & Refunds
7.1 Subscription Cancellation
You may cancel your subscription at any time through your account settings or by contacting us at hello@cabstates.com. Cancellations will take effect at the end of the current billing cycle. No refunds will be provided for partial subscription periods.
7.2 Refund Policy
Refunds are generally not provided for subscription fees, course fees, or service fees. However, we may offer refunds at our sole discretion in the following circumstances:
- Technical issues that prevent you from accessing the Services for an extended period
- Errors in billing or payment processing
- Services not delivered as described (e.g., business registration delays due to our error)
To request a refund, contact us at hello@cabstates.com within 14 days of the charge. All refund requests will be evaluated on a case-by-case basis.
7.3 Business Registration Services
For AdVentureSphere business registration services, refunds are only available if the registration cannot be completed due to an error on our part. Government fees are non-refundable once submitted to the relevant authorities.
8. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
8.1 No Warranty
CABSTATES disclaims all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Services will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy, reliability, or completeness of any content or information provided through the Services
8.2 Educational Services Disclaimer
CABSTATES provides educational tools and resources to support your learning. However:
- We do not guarantee that you will pass ACCA exams or achieve specific academic outcomes
- Our AI-powered study assistant (ACCA Smart) provides guidance based on algorithms and data, but should not replace professional tutoring or formal education
- You are solely responsible for your exam preparation and compliance with ACCA regulations
8.3 Business Services Disclaimer
For AdVentureSphere business registration services:
- We assist with document preparation and submission, but we are not lawyers or accountants
- We do not guarantee approval of business registrations by government authorities
- You are responsible for ensuring that your business complies with all applicable laws and regulations
- Processing times for business registrations are subject to government timelines and may vary
8.4 Third-Party Content
The Services may contain links to third-party websites or services that are not owned or controlled by CABSTATES. We are not responsible for the content, privacy policies, or practices of any third-party websites or services.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CABSTATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
In no event shall CABSTATES' total liability to you for all claims arising out of or relating to these Terms or the Services exceed the amount you paid to CABSTATES in the 12 months preceding the claim, or TTD $500 (five hundred Trinidad and Tobago dollars), whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply, and you may have additional rights.
10. Indemnification
You agree to indemnify, defend, and hold harmless CABSTATES, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Any content you submit, post, or transmit through the Services
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.
11. Dispute Resolution
11.1 Governing Law
These Terms and any disputes arising out of or relating to the Services shall be governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago, without regard to its conflict of law principles.
11.2 Jurisdiction
You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the courts of Trinidad and Tobago. You consent to the personal jurisdiction of such courts and waive any objection to venue.

Before initiating formal legal proceedings, you agree to first contact us at hello@cabstates.com to attempt to resolve the dispute informally. We will work with you in good faith to reach a mutually acceptable resolution.
11.4 Arbitration (Optional)
If informal resolution is unsuccessful, either party may elect to resolve the dispute through binding arbitration in accordance with the rules of the Trinidad and Tobago Arbitration Centre, or as otherwise mutually agreed.
12. Termination
12.1 Termination by You
You may terminate your account at any time by contacting us at hello@cabstates.com or through your account settings. Upon termination, your right to use the Services will immediately cease.
12.2 Termination by Us
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including:
- Breach of these Terms
- Suspected fraudulent, abusive, or illegal activity
- Request by law enforcement or other government agencies
- Discontinuation or material modification of the Services
12.3 Effect of Termination
Upon termination:
- All licenses and rights granted to you under these Terms will immediately cease
- You must cease all use of the Services
- We may delete your account and all associated data
- Sections of these Terms that by their nature should survive termination (e.g., intellectual property, disclaimers, limitation of liability) will continue to apply
13. Modifications to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Last Updated" date at the top of these Terms
- Notify you via email or prominent notice on our website
- Provide you with a reasonable opportunity to review the changes before they become effective
Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services.
